Terms of Service

1. Acceptance of terms

By creating an account or using MarkdownHQ (“the Service”), you agree to these Terms of Service. If you do not agree, do not use the Service. These terms constitute a binding agreement between you and Vincent Kindermann (“we”, “us”), the operator of MarkdownHQ.

2. Account registration

• •You must be at least 16 years old to create an account.
• •You are responsible for maintaining the security of your password and account.
• •You must provide accurate information when registering.
• •You may not share your account with others or create accounts on behalf of third parties without authorisation.

3. Acceptable use

You agree not to use MarkdownHQ to:

• •Store or distribute illegal content, including material that infringes intellectual property rights.
• •Harass, threaten, or harm other users.
• •Attempt to gain unauthorised access to any part of the Service or another user's data.
• •Introduce malware, viruses, or any harmful code.
• •Scrape or systematically extract data from the Service without prior written consent.
• •Use the Service to send spam or unsolicited commercial communications.

We reserve the right to suspend or terminate accounts that violate these rules, without notice.

4. Subscription plans & billing

4.1 Plans

MarkdownHQ offers a Free plan and two paid plans (Pro at €9/month, Team at €25/month). Feature availability per plan is described on the pricing page. We reserve the right to change prices with 30 days' notice.

4.2 Free trial

New subscribers to paid plans receive a 14-day free trial. No charge is made during the trial period. At the end of the trial, your chosen payment method will be charged unless you cancel before the trial ends. Only one trial per workspace applies.

4.3 Payment

Payments are processed by Stripe. We accept credit/debit cards, iDEAL, SEPA Direct Debit, and Bancontact. Subscription fees are billed monthly in advance. Prices are displayed inclusive of applicable VAT for EU customers (Stripe Tax handles EU VAT automatically).

4.4 Team plan seat billing

The Team plan is billed per workspace member. When you add or remove a member, Stripe recalculates the prorated charge or credit immediately. The subscription quantity always reflects the current number of workspace members.

4.5 Failed payments & grace period

If a payment fails, we will notify you by email. You have a 7-day grace period to update your payment method before your workspace is downgraded to the Free plan. Recovering payment within the grace period immediately cancels the scheduled downgrade.

4.6 Cancellation

You may cancel your subscription at any time from Workspace Settings → Billing → Manage subscription (Stripe Customer Portal). Cancellation takes effect at the end of the current billing period. You will not receive a refund for the remaining days of the current period, but you will retain access to paid features until the period ends.

4.7 Refunds

Subscription fees are non-refundable except where required by applicable law (e.g., 14-day EU consumer cooling-off right for digital services — by starting to use the Service immediately after purchase you explicitly waive this right as permitted under EU Consumer Rights Directive Art. 16(m)). 5. Your content

You retain full ownership of all notes, files, and content you create in MarkdownHQ. By using the Service you grant us a limited, non-exclusive licence to store and process your content solely to provide the Service. We do not use your content to train AI models, sell it to third parties, or access it beyond what is necessary for security, support, and legal compliance.

You are responsible for ensuring your content does not violate applicable laws or third-party rights.

6. Data export & portability

You can export all your notes as a Markdown ZIP archive at any time from Workspace Settings → Export. We provide this feature to ensure you are never locked in to MarkdownHQ.

7. Service availability

We aim for high availability but do not guarantee any specific uptime SLA on free or Pro plans. Team plan customers may request an SLA by contacting support. We will provide reasonable notice of planned maintenance via the in-app announcement banner.

8. Disclaimers & limitation of liability

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 3 MONTHS PRECEDING THE CLAIM, OR €50 — WHICHEVER IS GREATER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

9. Termination

You may delete your account at any time from Account Settings → Danger Zone. We may suspend or terminate your access for violation of these Terms, non-payment, or if we discontinue the Service with 30 days' notice. Upon termination, your data will be deleted according to our retention policy (see Privacy Policy §8).

10. Governing law

These terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the courts of the Netherlands, without prejudice to your rights as a consumer under applicable EU law.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or an in-app banner at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.
